This Agreement is made between The Website Guy UK (the "Company") and the Client (the "Client"). By initiating payment or accessing our services, you agree to be bound by the following terms and conditions.
1. Term and Termination
Commencement: This Agreement shall commence on the date of the first monthly payment and shall remain in force on a rolling monthly basis.
Termination by Notice: Either Party may terminate this Agreement by providing at least 30 days' written notice.
Immediate Termination: This Agreement may be terminated immediately upon mutual written consent or if either Party commits a material breach of these terms.
Post-Termination: Upon termination, any outstanding balances must be settled immediately. The Company reserves the right to cease all hosting and maintenance services upon the expiration of the notice period.
2. Fees and Billing
Payment Schedule: Billing occurs monthly on the anniversary of the initial payment. Payment must be cleared at least 48 hours before a website is scheduled to go live.
Price Variations: The Company reserves the right to adjust monthly fees to reflect additional services, upgrades, or external economic factors such as inflation.
Notice of Increase: Clients will be provided with at least 3 months' notice regarding any scheduled increases to the standard monthly rate.
VAT Status: All prices are quoted exclusive of VAT, as the Company is not currently VAT registered.
3. Non-Payment and Default
Standing Orders: Payment is requested via standing order to ensure continuity of service.
Grace Period: If a payment is missed, the Company will allow a 48-hour grace period and attempt to contact the Client.
Suspension of Service: If payment is not received following the grace period, the Company reserves the right to suspend the website and associated services (including email) without further notice.
Reactivation: A reactivation fee may be applied to restore services taken offline due to non-payment.
4. Domain Names and Email Services
Initial Period: One Tier 1 domain name is provided free of charge for the first 12 months. Premium domains may incur additional costs.
Renewals: Following the first year, domain renewal costs will be billed to the Client at the prevailing market rate.
Transfer of Ownership: Domain ownership may be transferred to the Client at any time subject to a £25 administration fee.
Email Provision: Standard email mailboxes (up to 10GB storage) are included free. Should the Client require expanded storage, a 50GB mailbox upgrade is available at a cost of £49 per year.
5. Service Continuity and Liability
Uptime Objective: We aim for a server uptime of 99.9%.
Force Majeure: The Company is not liable for service interruptions caused by factors beyond our reasonable control, including ISP failures, cyber-attacks, or hardware malfunctions at third-party data centres.
Limited Liability: The Company shall not be held responsible for any loss of profits, business interruption, or data loss arising from the use or inability to use our services.
6. Client Content and Conduct
Content Rights: The Client warrants that they own or have the necessary licences for all text, images, and data provided to the Company.
Indemnity: The Client agrees to indemnify the Company against any legal action related to copyright infringement or illegal content hosted at the Client's request.
Content Removal: The Company reserves the right to remove any content deemed illegal, offensive, or in violation of UK law without prior consultation.
7. Intellectual Property
Ownership: All design elements, custom code, and layouts created by the Company remain the intellectual property of The Website Guy UK unless a specific transfer of rights has been agreed upon in writing.
Licence: The Client is granted a non-transferable licence to use the website for its intended purpose for the duration of this Agreement.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the Laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
